ACRO-MAGNETICS, INC. STANDARD TERMS AND CONDITIONS OF SALE<\/u><\/strong><\/p>\n

PRODUCTS AND SERVICES SOLD ARE EXPRESSLY SUBJECT TO THE TERMS AND CONDITIONS SET FORTH HEREIN AND AT THE ACRO MAGNETICS WEBSITE, WWW.ACRO-MAGNETICS.COM, NOTWITHSTANDING ANY CONTRADICTORY TERMS OF THE BUYER’S PURCHASE ORDER.\u00a0 ADDITIONAL OR DIFFERENT TERMS IN BUYER’S PURCHASE ORDER SHALL NOT BE BINDING ON ACRO-MAGNETICS, INC. AND ARE HEREBY EXPRESSLY REJECTED.\u00a0 IN THE EVENT OF ANY CONFLICT BETWEEN THE TERMS AND CONDITIONS OF SALE SET FORTH HEREIN AND THOSE SET FORTH AT THE ACRO-MAGNETICS, INC. WEBSITE, THE TERMS AND CONDITIONS OF SALE SET FORTH AT THE ACRO-MAGNETICS WEBSITE SHALL PREVAIL.\u00a0 ACRO-MAGNETICS, INC. EXPRESSLY LIMITS ITS ACCEPTANCE TO THESE TERMS.\u00a0 NO PERSON HAS THE AUTHORITY TO ALTER THESE TERMS OTHER THAN A CORPORATE OFFICER OF ACRO-MAGNETICS, INC., AND ANY SUCH ALTERATION MUST BE IN WRITING.\u00a0 BY PLACING AN ORDER WITH ACRO-MAGNETICS, INC. YOU ARE ACKNOWLEDGING YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS IN THEIR ENTIRETY AND WITHOUT MODIFICATION.\u00a0 ACRO-MAGNETICS, INC. RESERVES THE RIGHT TO CHANGE THESE TERMS AND CONDITIONS AT ANY TIME WITH NOTIFICATION UPON OUR WEBSITE.\u00a0 ORDERS PLACED AFTER ANY CHANGES WILL CONSTITUTE ACCEPTANCE OF SUCH CHANGES.<\/p>\n

  1. Pricing and Payment<\/strong><\/li>\n<\/ol>\n

    All prices are F.O.B. shipping point unless otherwise specified. Product dimensions and\/or quantities are subject to change. Quoted prices are subject to addition for federal, state or local taxes, and subject to change if Products are not shipped within fifteen (15) days. \u00a0Otherwise, prices in effect at time of shipment will prevail. \u00a0It is the obligation of Buyer to provide evidence of sales tax exemption to Acro-Magnetics, Inc. \u00a0Notwithstanding the foregoing, in the event that sales tax is determined to be due upon any purchase, Buyer will pay the amount of such tax to Acro-Magnetics, Inc. for payment to the appropriate taxing authorities.\u00a0 Unless authorized by a representative of Acro-Magnetics, Inc. the prices for goods or services sold under this order are not less favorable than those currently extended to any other customer for the same or like goods or services in equal or less quantities.<\/p>\n

    If approved for credit, unless otherwise agreed in writing by an authorized officer of Acro-Magnetics, Inc., terms of payment are due within thirty (30) days of invoice date (Net 30), with no discount.<\/p>\n

    If a Buyer is given credit terms, Acro-Magnetics, Inc. reserves the right to re-evaluate your credit score and payment history and increase or reduce the Buyer\u2019s credit limit (up to and including removing the Buyer\u2019s credit terms) based upon the Buyer\u2019s credit score and payment history with Acro-Magnetics, Inc. and other creditors.\u00a0 Should the financial responsibility of Buyer at any time become unsatisfactory to Acro-Magnetics, Inc., Acro-Magnetics, Inc. shall have the right to require payment for any shipment hereunder in advance or, in the alternative, the provision of satisfactory security.\u00a0 If Buyer fails to make payment in accordance with the terms of this Agreement or fails to comply with any provision hereof, Acro-Magnetics, Inc. may at its option, in addition to any other remedies, cancel any unshipped portion of an order and other pending orders.\u00a0 Buyer shall remain liable for all unpaid accounts.\u00a0 In the event Buyer fails to make payment in accordance with the terms of this Agreement, Acro-Magnetics, Inc. reserves the right to deem the account delinquent and a late charge of one and one-half percent (1.5%) per month will be assessed on the unpaid balance.\u00a0 Buyer agrees to pay all collection costs and expenses, including reasonable attorney\u2019s fees, incurred by Acro-Magnetics, Inc. in collecting or attempting to collect such account.<\/p>\n

      \n
    1. Taxes<\/strong><\/li>\n<\/ol>\n

      Prices do not include any present or future sales, use, excise, or similar taxes. All such taxes shall be for Buyer’s account.\u00a0 Buyer agrees to furnish to Acro-Magnetics, Inc. a copy of any state license that would cause purchases by Buyer to be free of sales tax.\u00a0 Further, Buyer shall continually furnish copies of such licenses from year to year, as the same are renewed.<\/p>\n

        \n
      1. Warranties<\/strong><\/li>\n<\/ol>\n

        Acro-Magnetics, Inc. warrants that goods manufactured by Acro-Magnetics, Inc. shall be free under normal use from defects in workmanship for one (1) year from date of shipment to the Buyer.\u00a0 Acro-Magnetics, Inc. incorporates purchased products in its goods and does not warrant those purchased products as to their material or workmanship.\u00a0 The determination of whether a defect exists shall be made solely by Acro-Magnetics, Inc.\u00a0 Acro-Magnetics, Inc. shall not be liable for incidental or consequential damages directly or indirectly arising or resulting from the breach of any of the terms hereof or from the sale, handling or use of the products sold or services rendered.\u00a0 Acro-Magnetics, Inc. liability hereunder for breach of warranty, negligence, tort, or otherwise, is expressly limited at the option of Acro-Magnetics, Inc.: (a) to the replacement at the agreed point of delivery of any products found to be defective or not to conform to the specifications set forth herein, (b) to the refund or crediting to buyer of the price of such products.\u00a0 All other warranties are excluded, whether express or implied, by operation of law or otherwise.<\/p>\n

        Acro-Magnetics, Inc. manufactures and distributes products from separate manufactures. \u00a0Accordingly, any warranty of quality, merchantability or fitness for a particular purpose is that of the original manufacturer only and not that of Acro-Magnetics, Inc. Acro-Magnetics, Inc. agrees to use commercially reasonable efforts to cause its manufacturers to furnish products that will be free from defects in material and workmanship and will be free from patent infringement.\u00a0 Should the product fail to meet any manufacturer’s warranty, then upon notification thereof by buyer to Acro-Magnetics, Inc. and substantiation from buyer that the product has been stored, installed, maintained and operated in accordance with manufacturer’s recommendations and standard industry practices, Acro-Magnetics, Inc. shall assist buyer in obtaining suitable repair or replacement, or other remedy, as provided in the applicable manufacturer’s warranty.<\/p>\n

          \n
        1. Shipping and Handling<\/strong><\/li>\n<\/ol>\n

          Delivery dates are approximate and are based upon prompt receipt of all necessary information from Buyer. \u00a0Unless otherwise agreed in writing by Acro-Magnetics, Inc., delivery will be made and title will pass to Buyer F.O.B. point of shipment. \u00a0Expense and risk of loss of transporting the goods shall pass to Buyer at point of shipment.<\/p>\n

          The Buyer acknowledges that magnetic products may require special handling, labeling, and packaging for specific types of transport.\u00a0 Carrier surcharges may also apply.\u00a0 Buyer agrees to pay for all shipping, handling, labeling and packaging charges associated with the shipping of specified products with such requirements.\u00a0 Acro-Magnetics, Inc. is not responsible for, nor is it to be considered the “offeror” for, any further shipment or transshipment made by or on behalf of Buyer by any mode of transportation.\u00a0 Buyer assumes full responsibility for compliance with all state and\/or federal rules and regulations governing the Product’s further transportation by ground, air or water in domestic and\/or international commerce.<\/p>\n

          Acro-Magnetics, Inc. reserves the right to make delivery in installments.\u00a0 All such installments shall be separately invoiced and paid for when due, without regard to subsequent deliveries.\u00a0 Delay in delivery of any installment shall not relieve Buyer of the obligations to accept and pay for remaining deliveries.<\/p>\n

          Unless otherwise provided in writing, freight charges on all shipments, and spotting, switching, demurrage, or drayage at destination are to be paid by Buyer. \u00a0All outgoing shipping and handling charges on all shipments from Acro-Magnetics, Inc. to Buyer shall be borne by Buyer. \u00a0Any difference in the amount of freight from that shown on the invoice as being included, is for Buyer’s account. \u00a0Acro-Magnetics, Inc. reserves the right to designate origin and intermediate carriers. \u00a0If a specific delivering carrier is required, Buyer must designate such carrier in writing to Acro-Magnetics, Inc. prior to shipment.\u00a0 In the absence of Buyer-specific routing instructions, Acro-Magnetics, Inc. will exercise best judgment to route shipments accordingly.<\/p>\n

            \n
          1. Delay<\/strong><\/li>\n<\/ol>\n

            Acro-Magnetics, Inc. shall not be liable for any failure or delay in manufacture, shipment or delivery of Products resulting from any cause beyond Acro-Magnetics\u2019 control, including, but not limited to, provisions of law or governmental regulations, accident, explosion, fire, windstorm, flood or other casualty, strike, lockout, or other labor difficulty, riot, war, terrorist acts, insurrection, shortage of or inability to secure labor, raw materials, production or transportation facilities. \u00a0Shipping dates are approximate and are based on conditions at the time of quotation. \u00a0Acro-Magnetics, Inc. shall not be liable for failure or delay in performance due to prior sale of Products. \u00a0In the event of such delay, there will be no termination and the date of delivery shall be extended for a period equal to the time lost by reason of the delay.<\/p>\n

              \n
            1. Cancellation<\/strong><\/li>\n<\/ol>\n

              No order may be canceled or changed in whole or in part without the prior written consent of Acro-Magnetics, Inc. \u00a0Shipment of Products cannot be extended beyond the original shipping date specified without Acro-Magnetics, Inc. written consent.\u00a0 Orders are not subject to changes or cancellation except on such terms as to protect Acro-Magnetics, Inc. against loss and expressly agreed to by an officer of Acro-Magnetics, Inc. in writing.<\/p>\n

                \n
              1. Compliance with Laws<\/strong><\/li>\n<\/ol>\n

                Acro-Magnetics, Inc. warrants that it has complied, and will continue during the performance of this order to comply, with the provisions of all applicable federal, state and local laws and regulations from which liability may accrue to Buyer as a result of any violation thereof by Acro-Magnetics, Inc. \u00a0Acro-Magnetics, Inc. warrants compliance with the Fair Labor Standards Act and the Equal Employment Opportunity Act, as amended, in its performance. \u00a0Compliance with any federal, state or local procurement regulations, laws, or contract provisions in any form of government contracting by Buyer, shall be solely the responsibility of the Buyer.<\/p>\n

                  \n
                1. Assignment<\/strong><\/li>\n<\/ol>\n

                  Buyer may not assign this Agreement without prior written consent of Acro-Magnetics, Inc.<\/p>\n

                    \n
                  1. Specifications<\/strong><\/li>\n<\/ol>\n

                    Specifications and instructions are in accordance with directions of Buyer and full responsibility for their correctness is assumed by Buyer.<\/p>\n

                      \n
                    1. Claims<\/strong><\/li>\n<\/ol>\n

                      Claims for errors, shortages, or defective goods must be made within ninety (90) days after receipt of material.\u00a0 Buyer agrees to inspect the Products within ninety (90) days after receipt of the Products, and Buyer agrees to promptly notify Acro-Magnetics, Inc. of any readily-apparent defects or nonconformities.\u00a0 Buyer waives any right to object to such defects or nonconformities later than ninety (90) days after receipt of the Products.<\/p>\n

                        \n
                      1. Returns, Replacements, and Refunds<\/strong><\/li>\n<\/ol>\n

                        No Products will be accepted for return, replacement, or refund without written approval from an Acro-Magnetics, Inc. cooperate officer.\u00a0 All returns must be unused and are subject to restocking and return shipping charges.\u00a0 Refunds are limited solely to the value of the product itself.\u00a0 Special orders or modified Products are not returnable and not refundable unless approved by an Acro-Magnetics, Inc. officer in writing.<\/p>\n

                          \n
                        1. Credits<\/strong><\/li>\n<\/ol>\n

                          Acro-Magnetics, Inc. may apply any miscellaneous credits to the account of the Buyer, including the off-set of any unpaid invoices, late charges, or others amounts due to Acro-Magnetics, Inc.\u00a0 Any miscellaneous credits remaining unapplied for one (1) year, may, at the discretion of Acro-Magnetics, Inc., be turned over to the appropriate state agency responsible for unclaimed property.<\/p>\n

                            \n
                          1. Limitation of Liability<\/strong><\/li>\n<\/ol>\n

                            Except as otherwise expressly authorized in a writing signed by an authorized agent of seller, all indirect, special, consequential (including lost profits or market share or damage to brand value), incidental, punitive, and exemplary damages, whether or not foreseeable, are excluded under these terms and conditions to the extent permitted by applicable law<\/p>\n

                              \n
                            1. Confidentiality<\/strong><\/li>\n<\/ol>\n

                              Acro-Magnetics, Inc. shall consider all information furnished by purchaser to be in confidence and shall not disclose any such information to any other person or use such information itself for any purpose other than for fulfillment of purchase order.\u00a0 Acro-Magnetics, Inc. shall not advertise or publish the fact that purchaser has contracted to purchase goods from seller, nor shall any buyer\u2019s information relating to the order be disclosed without the purchaser’s written permission.<\/p>\n

                              Trade secrets, specifications, drawings, notes, instructions, engineering data and analysis, financial data, and other technical and business data which are supplied or disclosed by Acro-Magnetics, Inc. in connection with the agreement will be deemed confidential and proprietary and remain the sole property of Acro-Magnetics, Inc.\u00a0 The Buyer may not disclose this Confidential Information or use it for any purpose other than is contemplated under the agreement without written consent from the Acro-Magnetics, Inc.<\/p>\n

                                \n
                              1. Waivers<\/strong><\/li>\n<\/ol>\n

                                Waiver of any breach of this Agreement shall not be construed as a waiver of any other breach.<\/p>\n

                                  \n
                                1. Hazardous Activities and Safety<\/strong><\/li>\n<\/ol>\n

                                  Unless specifically acknowledged and agreed in writing by a duly authorized officer of Acro-Magnetics, Inc., Products sold hereunder may not be used in connection with any nuclear facility or any other hazardous activity, including without limitation, military, aerospace, missile or other critical application. \u00a0Buyer agrees to indemnify and hold Acro-Magnetics, Inc. harmless from any liability that results from Buyer’s use that is inconsistent with this paragraph.<\/p>\n

                                  Material Safety Data Sheets (MSDS). \u00a0Acro-Magnetics, Inc. provides MSDS that are prepared by its manufacturers and suppliers. \u00a0MSDS are not prepared by Acro-Magnetics, Inc. \u00a0Current MSDS will be provided to Buyer in connection with a purchase of a Product when required by law or regulation.<\/p>\n

                                    \n
                                  1. Export and Import Customs, Duties, and Fees<\/strong><\/li>\n<\/ol>\n

                                    Buyer assumes responsibility and liability for compliance with all U.S. and international laws, treaties and customs rules and regulations applicable to the export\/import of Products by Buyer.\u00a0 Prices quoted and confirmed do not include federal, state, local or other taxes. \u00a0All taxes, import or export fees, and duties are the responsibility of the Buyer. \u00a0Upon request, Seller shall promptly furnish all documents required by customs for any country in which the goods are to be shipped.<\/p>\n

                                      \n
                                    1. Modification<\/strong><\/li>\n<\/ol>\n

                                      Unless Buyer and Acro-Magnetics, Inc. have specifically executed a supply agreement for the purchase and sale of Products, there are no terms, conditions, understandings or agreements between Buyer and Acro-Magnetics, Inc. other than those stated herein and all prior proposals and negotiations are merged herein. \u00a0NO TERMS AND CONDITIONS IN ANY WAY ALTERING OR MODIFYING THE PROVISIONS HEREOF SHALL BE BINDING UPON EITHER PARTY UNLESS IN WRITING AND SIGNED BY AN AUTHORIZED REPRESENTATIVE OF SUCH PARTY. \u00a0NO MODIFICATION OR ALTERATION OF THE PROVISIONS HEREOF SHALL RESULT FROM ACRO-MAGNETICS, INC. SHIPMENT OF MATERIAL FOLLOWING RECEIPT OF BUYER’S PURCHASE ORDER, SHIPPING ORDER, OR OTHER FORMS CONTAINING PROVISIONS, TERMS AND CONDITIONS IN ADDITION TO OR IN CONFLICT OR INCONSISTENT WITH THE PROVISIONS HEREOF.<\/p>\n

                                        \n
                                      1. Venue; Governing Law<\/strong><\/li>\n<\/ol>\n

                                        THE BUYER SPECIFICALLY ACKNOWLEDGES AND AGREES THAT JURISDICTION AND VENUE FOR ANY ACTIONS BROUGHT BY EITHER PARTY SHALL BE EXCLUSIVELY IN MCHENRY COUNTY, ILLINOIS.\u00a0 THE PARTIES FURTHER AGREE THAT THE LAW OF ILLINOIS SHALL APPLY. \u00a0The provisions of the United Nations Convention on Contracts for the International Sales of Goods shall not apply.<\/p>\n
